Terms & Condition

In these Terms and Conditions (“Agreement”):
“Company”means the business providing online courses, digital content, and one-to-one consultancy services.
“Client”means any individual or entity purchasing, accessing, or using the Services provided by the Company.
“Services”means all courses, programmes, memberships, digital products, downloadable materials, consultancy and coaching sessions, and any related content.
“Digital Content”has the meaning set out in the Consumer Rights Act 2015.
“Website”means any online platform operated by the Company.
“Agreement”means this legally binding contract governing the relationship between the Company and the Client.

By purchasing any Product, accessing the Website, or otherwise engaging with the Company, the Client acknowledges that they have read, understood, and agree to be legally bound by this Agreement. If the Client does not accept these terms, they must not use or purchase the Goods.

3.1 All charges are payable in advance unless expressly stated otherwise.
3.2 The Client authorises the Company to charge the payment method provided for all charges due.
3.3 The Client is responsible for ensuring that all payment information is accurate and up to date.
3.4 Prices may be amended at the Company’s discretion; however, changes will not affect purchases already completed.

4.1 Under the Consumer Contracts Regulations 2013, the Client has the right to notify the Company that they wish to return the item within 14 days of receipt.
4.2 The Client must then return the item to the company within the next 14 days.
4.3 Refunds will be processed within 14 days of the Company receiving the goods and standard postage costs will also be refunded.
4.4 Refund requests must be submitted via the contact page on the Company Website: https://scentbylove.co.uk/. On receipt of the request, the Company will share the return address details.

5.1 Complaints must be submitted in writing to the contact page on the Company Website: https://scentbylove.co.uk/
5.2 The Company will acknowledge complaints within a reasonable timeframe and will act in accordance with UK consumer protection laws, including the Consumer Rights Act 2015.

6.1 All intellectual property rights in the Services, digital content, and Website are owned by or licensed to the Company.
6.2 The Client must not reproduce, sell, rent, distribute, publish, adapt, modify, copy, transmit, publicly display, edit ,share, create derivative works or commercially exploit any materials.
6.3 Unauthorised use may result in termination of access and legal action.

7.1 The Company processes personal data in accordance with the UK GDPR and Data Protection Act 2018.
7.2 Details of data processing are set out in the Company’s Privacy Policy.
7.3 By purchasing or accessing the Services, the Client consents to such processing.

8a.1 Nothing in this Agreement limits liability for death or personal injury caused by negligence, fraud, or any statutory rights that cannot be excluded.
8a.2 To the fullest extent permitted by UK law, the Company is not liable for:
- indirect, punitive, incidental, special, consequential or exemplary damages, or economic losses; including without limitation, damages for loss of profits, goodwill, use, data or other intangible losses arising out of or relating to the use of, the product.
- business losses;
- results arising from the product; or
- interruptions or delays beyond its reasonable control. Any unauthorised access to or use of our secure servers and/or any and all personal information stored therein

9.a.1 You agree to indemnify and hold Scent By Love harmless from any demands, loss, liability, claims or expenses (including legal fees) made against them by any third party due to or arising out of, or in connection with your use of the products offered on the website.

10.1 The Company shall not be liable for any delay or failure to perform its obligations where such delay or failure results from events, circumstances, or causes beyond its reasonable control (“Force Majeure Event”).
10.2 Force Majeure Events include, but are not limited to: pandemics, epidemics, government restrictions, natural disasters, fires, floods, acts of God, war, terrorism, labour disputes, system failures, power outages, or failures of third‑party service providers.
10.3 The Company will notify the Client where a Force Majeure Event affects the delivery of Services. Obligations will resume once the event has concluded.

11.1 In the event of a dispute, the parties shall first attempt to resolve the matter through informal, good‑faith negotiation.
11.2 If the dispute cannot be resolved informally, the parties agree to attempt resolution through mediation using a UK‑accredited mediator before commencing legal proceedings.
11.3 Either party may elect to use arbitration as an alternative to court proceedings. The arbitration shall be conducted in the United Kingdom in accordance with the Arbitration Act 1996.
11.4 Nothing in this clause prevents either party from seeking urgent injunctive or equitable relief.

12.1 Except where liability cannot be limited by law, the Company’s total aggregate liability to the Client in respect of all claims arising under or in connection with this Agreement shall not exceed the total amount paid by the Client for the Goods in the 12 months preceding the claim.
12.2 The Company shall not be liable for:
- indirect, consequential, or special losses;
- loss of profits, business, data, or opportunity;
- reliance on course or consultancy content;
- third‑party service failures; or
- events outside its reasonable control.
12.3 These limitations apply to the fullest extent permitted by UK law.

13.1 This Agreement and any dispute or claim arising from or related to it shall be governed by and interpreted in accordance with the laws of England and Wales.
13.2 Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising from or related to this Agreement, subject to the dispute‑resolution procedures outlined above.
13.3 The parties agree that this governing law applies regardless of the Client’s country of residence.

14.1 If any provision of this Agreement is found by a court or authority to be invalid, unlawful, or unenforceable, that provision shall be deemed removed, and the remaining provisions shall continue in full force.
14.2 This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, representations, or understandings.
14.3 The Client may not assign, transfer, or subcontract their rights or obligations without written consent from the Company.
14.4 The Company may assign or transfer its rights where required for business operations, restructures, or service continuity.

15.1 The Company may update or amend these Terms and Conditions at any time. We reserve the right to modify these terms from time to time at our sole discretion. Therefore you should review this page periodically.  Changes will take effect immediately upon posting to the Website unless stated otherwise.
15.2 Your continued use of the Website or our service after any such change constitutes your acceptance of the new Terms. If you do not agree to any of these terms or any future version of the Terms, do not use or access (or continue to access) the website or the service. Continued use of the Website or Services constitutes acceptance of the updated terms.
15.3 The Company will notify Clients of material changes where required by UK law.

16.1 You agree to receive from time to time promotional messages and materials from us, by mail, email or any contact form you may provide us with (including your phone number for calls or text messages). If you do not want to receive such promotional materials or notices, please notify us via the Contact Page on the Website https://scentbylove.co.uk/.  

17.1 Nothing in this Agreement affects the Client’s statutory rights under UK consumer law.
17.2 No failure or delay by the Company to enforce any right or provision shall constitute a waiver of that right or provision.
17.3 Headings are for convenience only and do not affect interpretation.
